Offering of Shares in ENEA S.A.

As previously announced, the Ministry of the State Treasury of Poland today confirms its intention to proceed with the sale of up to 16% of ENEA S.A.’s ordinary shares. The offering will be open to certain institutional investors in Poland and internationally and is expected to be completed in February of 2010, subject to prevailing market conditions.

All of the shares to be offered are existing shares listed on the Warsaw Stock Exchange and are currently held by the Ministry of State Treasury. Further details of the offer structure may be released in due course.

Credit Suisse has been appointed as the Global Coordinator and Joint Bookrunner, with Citigroup Global Markets Limited, Dom Maklerski Banku Handlowego S.A. and UniCredit acting as Joint Bookrunners.
